Velkan Supplier-invoice audit

Terms of Service

Version 1. Effective 28 October 2026. These terms apply to the supplier-invoice audit offered at audit.velkancorp.com under the Velkan name (the "Service").

The short version

This summary helps you read the terms. The full text below is what binds us both.

1. Who we are

The Service is operated by Waffle Corp., a Delaware corporation, under the brand Velkan. Address: 2093 Philadelphia Pike #2073, Claymont, DE 19703, United States. Email: [email protected]. "We" and "us" mean Waffle Corp.; "you" means the business that buys the audit and the person who accepts these terms for it, who confirms they may bind that business.

2. What you buy

2.1 The audit. For each audit we read the supplier invoices you send, convert each price to a common unit, compare it with a public reference price for the same item and week, and deliver: a one-page summary, a line-by-line sheet showing the source and date of each reference, and a renegotiation script for your own use.

2.2 Price and payment. The fee is US $299 per audit, paid once through Stripe. It does not include any tax that applies. A receipt comes from Stripe.

2.3 Timing. We start when we have both your payment and your invoices, and we deliver within five business days, or tell you within two business days what is missing. If we cannot deliver within 30 days of your payment, we refund the fee in full.

2.4 Estimates. Annual figures are estimates: the per-unit gap multiplied by the weekly volume on your invoices over 52 weeks. Public reference prices are averages for a market and a week; they are not offers to sell to you, and your supplier's delivered price includes services a reference price may not.

3. Your invoices

3.1 Your permission. You confirm that you may share the invoices you send with a service provider for the purpose of this audit. If an agreement with a supplier limits sharing its prices, or if you buy under a negotiated or cost-plus agreement, tell us before you send; you remain responsible for complying with your own agreements.

3.2 Our use. We use your invoices only to prepare your audit, as the Privacy Notice describes. We never show your prices or your report to another customer or to any supplier, and we never use them in another customer's report. Any other use needs your separate written opt-in.

3.3 Send only invoices. Please do not send payment card numbers, bank account details, or personal information about your employees or customers. Redact them if they appear on an invoice.

4. What the report is not

The report states where the price you paid is above a public reference, by how much, and with what source. It does not say that a supplier overcharged you, breached a contract or acted unlawfully, and must not be presented as saying so. It is not legal, accounting, tax or procurement advice, and it does not recommend coordinating prices or purchases with other buyers. Decisions you take after reading it are yours.

5. Your use of the report

The report is for your business's internal use. You may share it with your accountant, advisers and your own suppliers. You may not resell it or publish it.

6. Refunds

The Refund Policy is part of these terms. In short: a full refund if the audit finds less than $299 a year in estimated overpayment, if we cannot deliver within 30 days, or if you cancel before we start work.

7. Warranties

We prepare each audit with reasonable care and skill. Apart from that, and to the fullest extent the law allows, the Service and the report are provided "as is", without other warranties, express or implied, including fitness for a particular purpose and accuracy of third-party reference data.

8. Limitation of liability

8.1 No indirect damages. To the fullest extent the law allows, Waffle Corp. is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost business or lost data, arising from the Service or the report, however caused.

8.2 Cap. To the fullest extent the law allows, our total liability for all claims arising from or related to the Service is limited to the fees you paid us for the audit concerned.

8.3 What these limits never exclude. Nothing in these terms limits liability for fraud, for gross negligence or wilful misconduct, or for anything else the law does not allow to be limited.

9. Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Before any formal proceeding, write to [email protected] and we will both try in good faith to resolve the matter within 30 days. After that, disputes go to the state or federal courts located in Delaware, and both of us consent to their jurisdiction; either of us may use a small-claims court where the claim qualifies.

10. General

10.1 Changes. We may change these terms for future audits by posting a new version here. The version in force when you paid applies to that audit.

10.2 Entire agreement. These terms, the Refund Policy and the Privacy Notice are the entire agreement about the Service. If a provision is unenforceable, the rest stays in force. A failure to enforce is not a waiver.

10.3 Assignment. You may not transfer these terms. We may transfer them to an affiliate or a successor, and will say so here.

10.4 Notices. We write to the email address you used; you write to [email protected].
